PR Membership Agreement & Limitations of Use
Use of the VideoGameMedia.com site is limited to submission of news releases, screen shots, and trailers for distribution via VideoGameMedia.com's Press Portal and registration for and use of offered products and services.

All submissions to VideoGameMedia.com are governed by the terms and conditions set forth in the VideoGameMedia.com PR Membership Agreement (the "Membership Agreement") agreed upon by you or an agent of your company when joining the VideoGameMedia.com site. By submitting a press release for dissemination by VideoGameMedia.com, you agree to be bound by the terms and conditions set forth in the Membership Agreement.

1. Acknowledgements and Warranties
   A registered VideoGameMedia.com PR member submitting material to VideoGameMedia.com for distribution ("Company") grants VideoGameMedia.com the rights to reproduce, distribute, translate and create derivative works of the material submitted. Company warrants and represents that the content of all materials submitted to VideoGameMedia.com will be accurate and original; that Company owns or is an authorized licensee in the material provided to VideoGameMedia.com for distribution; that the material will not violate or infringe upon any copyright, trademark, or other intellectual property, proprietary, personal, privacy, or other rights worldwide of other persons; that the material does not contain anything defamatory or any viruses, scripts, macros or programs, or links to scripts, macros or programs; and that the material complies with all applicable laws and regulations. Company further warrants and represents that all recipients included on any distribution list provided by Company to VideoGameMedia.com have expressly consented to receive advertising and/or promotional email messages from Company.

   VideoGameMedia.com reserves the right to refuse copy deemed inappropriate or not properly sourced. Membership may be revoked for violation of VideoGameMedia.com Terms and Conditions or Terms of Use. VideoGameMedia.com reserves the right to change prices and product/coverage specifications without notice. Company understands and agrees that material submitted via VideoGameMedia.com’s website (“Site”) or any other use of Business Wire services are also subject to the Terms of Use.

2. Indemnity; Limitation of Liability
   Company will indemnify and hold harmless VideoGameMedia.com and its officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by VideoGameMedia.com to transmit and distribute materials, from any and all liabilities, damages, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to its breach of any of the warranties and representations provided herein.

   VIDEOGAMEMEDIA.COM AND ÜBER MEDIA GROUP LLC SHALL NOT BE LIABLE TO COMPANY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVEN IF VIDEOGAMEMEDIA.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM OR RELATED IN ANY WAY TO ANY PROVISION OF THIS AGREEMENT (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES), INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS. IN NO EVENT SHALL VIDEOGAMEMEDIA.COM BE LIABLE TO COMPANY FOR AN AMOUNT GREATER THAN THE PAYMENTS MADE BY COMPANY TO VIDEOGAMEMEDIA.COM FOR PRODUCTS AND SERVICES PROVIDED PURSUANT TO THE TERMS OF THIS AGREEMENT. Some jurisdictions do not allow the exclusion of liability for incidental or consequential damages, so some or all of the above exclusions or limitations may not apply to you.

3. Force Majeure
   If VideoGameMedia.com is prevented or delayed in or from performing any of its obligations under the Agreement due to circumstances beyond its control, including but not limited to governmental acts, war, riots, strikes or trade disputes (including by and with our own employees), technical failure, general availability of the internet, power failure, communications failure, weather, flood, fire or explosion, natural or local emergency, VideoGameMedia.com shall not be liable for any resulting failure to provide services hereunder.

4. Use of Personal Data
   Any and all Personal Data (i.e. information relating to an individual) that Company supplies to VideoGameMedia.com may be shared with other companies in the VideoGameMedia.com press portal group and certain trusted third parties, and may be transferred to the U.S. or elsewhere for the purposes of news dissemination, filing, news tracking and other related services. Company warrants any individuals whose Personal Data it provides have consented to such uses and transfers. Any concerned individuals who wish to opt out of any use or transfer of their Personal Data may contact VideoGameMedia.com at support@videogamemedia.com.

5. Governing Law; Venue
   This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of South Carolina. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force without being impaired or invalidated in any way. Any dispute arising under or related in any way to this Agreement shall be adjudicated in a court of competent jurisdiction in the county of Charleston, South Carolina.

Termination
VideoGameMedia.com has the sole right to terminate or suspend any user(s) account, for conduct which we feel has violated any of the eight terms of service. We have the right to terminate your account without notification. VideoGameMedia.com also has the right to disallow/ban your Internet Protocol (IP) address, thus allowing you no access to our website.

Links to Web Sites
Links to any web site will allow you to leave the VideoGameMedia.com web site. We are not responsible for the contents of any site which we have linked or any link that is contained on a linked site, or any changes or updates on a site which we have a link to.

Children Under the Age of 13
Due to the Children's Online Privacy Protection Act (COPPA) in the United States, VideoGameMedia.com is required to prohibit children under 13, who live in the United States from using forums. If you post in the forums you are symbolizing that you are over the age of 13. If you are under the age of 13 and use the forums without prior notification your account will be terminated.

Disclaimer of Warranties and Liability
IF YOU AGREE TO THIS AGREEMENT (GENERAL AGREEMENT OR PR MEMBERSHIP AGREEMENT), YOU EXPRESSLY AGREE THAT YOUR USE OF VIDEOGAMEMEDIA.COM IS AT YOUR OWN RISK. NEITHER VIDEOGAMEMEDIA.COM, ÜBER MEDIA GROUP LLC, NOR ANY OF ITS AFFILIATES, EMPLOYEES, ADVERTISIERS, OR LINKED WEB SITES, GUARRANTEES THAT THE VIDEOGAMEMEDIA.COM OR ANY INTERNET SITE LINKED TO OR FROM VIDEOGAMEMEDIA.COM WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS SITE, INCLUDING THE INTERACTIVE AREAS, OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES, TROJANS, MAIL BOMBS, WAR DIALERS OR OTHER HARMFUL COMPONENTS. VIDEOGAMEMEDIA.COM AND ÜBER MEDIA GROUP LLC IS NOT RESPONSIBLE FOR ANY VIRUSES, TROJANS, MAIL BOMBS, WAR DIALERS OR OTHER HARMFUL COMPONENTS, WHICH A USER MAY POST ON THE VIDEOGAMEMEDIA.COM OR A LINKED WEB SITE. UNDER NO CIRCUMSTANCES WILL VIDEOGAMEMEDIA.COM OR ÜBER MEDIA GROUP LLC BE HELD ACCOUNTABLE FOR ANY SCAMS OR SWINDELING A USER MAY CONDUCT THROUGH OUR SERVICES. VIDEOGAMEMEDIA.COM AND ÜBER MEDIA GROUP LLC WILL NOT BE HELD RESPONSIBLE FOR THE AUTHENTICITY OF ANY PRESS RELEASE, SCREEN SHOTS, FACT SHEETS, TRAILERS, AND DEMOS POSTED ON THE VIDEOGAMEMEDIA.COM WEB SITE.
